Terms and Conditions

These Terms govern access to MatrixP2P, a cryptocurrency exchange and peer-to-peer marketplace operated at matrixp2p.com. By creating an account or using the Services, you agree to these Terms.

1. Agreement

These Terms and Conditions (the “Terms”) are a contract between you and MatrixP2P (“MatrixP2P”, “we”, “us”, or “our”) governing your use of the website www.matrixp2p.com, related progressive web applications, APIs, and associated services (together, the “Services”).

Please also read our Privacy Policy, which explains how we handle personal data. If you do not agree, do not use the Services.

2. What MatrixP2P is

MatrixP2P is a centralized cryptocurrency exchange and P2P marketplace. The Services currently include:

  • spot trading matched on the Matrix order-matching engine;
  • a peer-to-peer marketplace with platform ledger escrow;
  • staking products that lock balances on the Matrix ledger; and
  • a wallet / ledger for supported digital assets.

MatrixP2P is not a bank, credit institution, broker-dealer, investment adviser, or insurance company. We do not take deposits in the banking sense, do not provide investment, legal, or tax advice, and do not guarantee that any asset, order, or staking product will produce a profit.

3. Eligibility

You may use the Services only if you:

  • are at least 18 years old (or the age of majority in your jurisdiction, if higher);
  • have the legal capacity to enter a binding contract;
  • are not located in, or a resident of, a jurisdiction where use of the Services would be unlawful; and
  • are not a person or entity subject to sanctions or other trading prohibitions applicable to our operations.

You are responsible for determining whether your use of cryptocurrency services is permitted where you live.

4. Accounts, email verification, and security

You must register with a valid email address and password. We send transactional email (including welcome, verification, login alerts, and password reset) to that address. You must verify your email before you can sign in and use trading features.

You may enable optional authenticator-app (TOTP) two-factor authentication. You are responsible for keeping your password, email access, 2FA device, and API keys confidential. Notify us immediately at admin@matrixp2p.com if you believe your account has been compromised.

We may refuse, suspend, or close accounts that appear to violate these Terms, fail verification, or present fraud, abuse, or legal risk.

5. Identity checks (KYC)

MatrixP2P may require you to complete identity, source-of-funds, or other compliance checks before you can deposit, withdraw, trade, or use P2P. Support tickets include a KYC category so you can work with our desk on those requests.

We do not currently operate a fully automated third-party KYC vendor as a default onboarding step. When we ask for documents, you must provide accurate information. P2P counterparties may also require that the name on a fiat payment match the name associated with your MatrixP2P account. We may freeze, delay, or refuse activity until checks are complete.

6. Spot trading and the Matrix engine

Spot orders are submitted to MatrixP2P and matched by the Matrix matching engine using price-time priority against other Matrix orders. Fills, locks, and settlement occur on the Matrix ledger. We do not route your orders to Binance or any other external exchange for execution.

Supported order types may include market, limit (including GTC, IOC, and FOK), and stop / take-profit instructions as shown in the trading interface. Orders may be rejected, partially filled, or cancelled in accordance with pair rules (tick size, step size, minimum size, and similar constraints).

You authorize us to lock the paying asset when an order is accepted, debit and credit balances on fills, and charge maker/taker fees as described in Section 11.

7. Market data (display versus fills)

Charts, tickers, heatmap, news, and some public depth or candle views may use third-party display feeds, including TradingView widgets and public Binance market data. That information is for display and convenience only. It is not a quote from the Matrix book, not a promise of execution price, and not investment advice.

Your actual fills are determined solely by the Matrix matching engine and the resting Matrix order book at the time of matching. Display prices can differ from executable Matrix prices, especially in thin books or fast markets.

8. P2P marketplace

The P2P service lets users advertise and complete crypto-for-fiat trades with one another. Crypto is locked on the Matrix ledger as escrow for the duration of a trade. Escrow is a platform ledger lock; it is not an on-chain multi-signature wallet.

Fiat payment is made directly between buyer and seller using the methods they agree (for example bank transfer). MatrixP2P is not a party to the fiat transfer, does not hold fiat as a bank, and does not guarantee that a counterparty will pay or release on time. You must follow the trade room instructions, merchant terms, and payment window. Disputes may be reviewed by our staff, who may release or refund escrow based on the evidence available.

9. Staking

Staking on MatrixP2P locks available ledger balances into timed positions according to pool terms shown in the app. Advertised APY and rewards are platform-configured products, not on-chain proof-of-stake yield and not a promise of profit. Locks, rewards, and unstake rules are those displayed at the time you stake. We may change or discontinue pools going forward.

10. Wallet, deposits, and withdrawals

Your balances are records on the Matrix ledger (available and locked amounts per asset). USDT crypto deposits are processed on supported on-chain networks and matched to your account via deposit intents. Credits typically post after the transfer is detected on-chain, required confirmations are met, and our systems accept the notification.

Withdrawals are requested in the app, lock funds, and are completed or rejected by staff. You must provide a correct destination address and network. Transfers to the wrong address, unsupported network, or incompatible token cannot generally be reversed.

Deposit and withdrawal availability, minimums, networks (for example USDT on TRC20, BEP20, or ERC20), and processing times depend on blockchain conditions, network congestion, and our risk controls. We may delay, reverse (where possible), or refuse a transfer that appears fraudulent, erroneous, or legally restricted.

11. Fees

Spot trading is subject to maker and taker fees shown in the interface and configurable by MatrixP2P. Fees are typically charged on the received asset and credited to the platform treasury. Assets may also carry withdrawal fees. Blockchain network fees, third-party infrastructure fees, and any bank or payment-method fees charged by third parties are separate and usually outside our control.

We may change fee schedules. The fees that apply to a given order or withdrawal are those in effect when the action is processed.

12. API access

If you create API keys, you are responsible for their use, including automated trading. Keep secrets confidential and revoke keys you no longer need. We may throttle, suspend, or revoke API access to protect the platform or other users.

13. Risk disclosure

Digital assets are volatile. You can lose some or all of the value of assets you hold or trade, including from price moves, failed counterparties, operational incidents, blockchain congestion or forks, payment-processor outages, or your own errors (such as a wrong withdrawal address).

Past performance, displayed charts, heatmap color, news headlines, and staking APY figures are not guarantees. Nothing on MatrixP2P is an offer of securities, a solicitation to buy or sell any product, or personalized investment advice. You trade and stake only with capital you can afford to lose.

14. Prohibited use

You may not:

  • use the Services for money laundering, terrorist financing, fraud, or sanctions evasion;
  • manipulate markets, spoof, wash trade, or abuse escrow, staking, or promotions;
  • provide false identity or payment information, or use third-party payments where prohibited;
  • attempt unauthorized access, interfere with matching, wallets, or other users;
  • scrape, overload, or reverse engineer the Services except as allowed by law;
  • use the Services if you are under 18 or otherwise ineligible; or
  • violate applicable law, these Terms, or another user’s rights.

15. Intellectual property

MatrixP2P, the Matrix logo, and the site’s look, software, and content are owned by us or our licensors. Third-party marks (including TradingView, Binance, SendGrid, and Meta / Facebook) belong to their owners. You receive a limited, revocable, non-transferable license to use the Services for your own lawful trading and account management. You may not copy, resell, or frame the platform without our written consent.

16. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, uninterrupted availability, and error-free matching, charts, or transfers. Third-party widgets, payment rails, and blockchains can fail without notice.

17. Limitation of liability

To the fullest extent permitted by law, MatrixP2P and its operators, officers, employees, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or lost business, arising from the Services, even if advised of the possibility.

Our aggregate liability arising out of the Services will not exceed the greater of (a) the trading fees you paid to MatrixP2P in the three months before the claim, or (b) one hundred US dollars (USD 100), except where liability cannot be limited (including for fraud or willful misconduct, or death or personal injury caused by negligence, where such a limit is unenforceable).

18. Indemnification

You will indemnify and hold harmless MatrixP2P and its operators from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your orders and P2P trades, your violation of these Terms or law, or your infringement of another person’s rights.

19. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access, cancel open orders, and restrict deposits or withdrawals where we reasonably believe it is necessary for security, legal compliance, unpaid obligations, or breach of these Terms. After closure, we may still retain records as described in the Privacy Policy and applicable law. Remaining supported balances may be withdrawn subject to checks, fees, and legal restrictions.

20. Changes

We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes may be notified by email or an in-product notice. Continued use after the update constitutes acceptance of the revised Terms.

21. Governing law

These Terms are governed by the laws of the jurisdiction in which MatrixP2P operates, without regard to conflict-of-law rules. Courts in that jurisdiction will have exclusive venue for disputes that are not resolved informally, except where applicable law gives you a non-waivable right to another forum.
